TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IMOS PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Any unauthorized access to or use of our servers and/or any personal information stored therein;

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES EXCEED THE GREATER OF: (A) ONE HUNDRED UNITED STATES DOLLARS ($100.00); OR (B) THE TOTAL AMOUNT YOU PAID TO IMOS PIZZA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY FOR CERTAIN TYPES OF DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

11. Indemnification

You agree to defend, indemnify, and hold harmless Imos Pizza, its officers, directors, employees, agents, contractors, licensors, service providers, subcontractors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of our Services or Site, other than as expressly authorized herein;
  • Your violation of any third party's rights, including but not limited to intellectual property rights, privacy rights, or rights of publicity;

  • Your fraudulent, negligent, or intentional misconduct in connection with our Services.

12. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States and the applicable laws of the state in which Imos Pizza is registered and operates, without regard to any conflict of law provisions.

You agree that any legal action or proceeding arising out of or relating to these Terms or your use of our Services that is not subject to mandatory arbitration (as described below) shall be instituted exclusively in the federal or state courts of competent jurisdiction located in the United States, in the state of Imos Pizza's principal place of business. You hereby irrevocably consent to the personal jurisdiction of such courts and waive any objection to the laying of venue of any such action or proceeding in such courts.

Our Services are intended for users located within the United States. We make no representation that our Services or Content are appropriate or available for use in locations outside the United States. Those who choose to access our Services from outside the United States do so on their own initiative and are responsible for compliance with all applicable local laws.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the Services, or any products or services provided by Imos Pizza ("Dispute"), we encourage you to first contact us at [email protected] to attempt to resolve the Dispute informally. We will make reasonable efforts to resolve your concern within thirty (30) days of receipt of your written notice describing the nature of the Dispute.

13.2 Binding Arbitration

If we are unable to resolve the Dispute informally within thirty (30) days, you and Imos Pizza agree to resolve any and all Disputes exclusively through final and binding arbitration, rather than in court, except as set forth in Section 13.4 below. The arbitration shall be conducted by a recognized arbitration organization under its then-current rules, and the arbitrator's decision shall be final and binding on both parties.

13.3 Class Action Waiver

YOU AND IMOS PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.

13.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Additionally, claims that fall within the jurisdictional limits of small claims court may be brought in the applicable small claims court.

13.5 Waiver of Jury Trial

BY AGREEING TO THESE TERMS, YOU AND IMOS PIZZA EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

14. Term and Termination

14.1 Term

These Terms shall remain in full force and effect for as long as you access or use our Services or maintain an account with us.

14.2 Termination by You

You may terminate your account and cease using our Services at any time by contacting us at [email protected] or by following the account deletion procedures, if any, available on our Site.

14.3 Termination by Us

We reserve the right, in our sole discretion, to terminate or suspend your account and access to our Services at any time, with or without cause, and with or without notice, including but not limited to situations where:

  • We reasonably suspect fraudulent, abusive, or illegal activity associated with your account;
